Usage Policy

Part A Usage Policy

This Usage Policy applies to any products or services hosted by Keelvar (collectively, “SaaS Products”) and applies to all customers and permitted users who use the SaaS Products (each a “User”). This Usage Policy is incorporated into your agreement with Keelvar and governs how Users may access and use the SaaS Products. This Usage Policy may be updated by Keelvar periodically at Keelvar’s reasonable discretion by posting an updated version of this Usage Policy here.

The following terms are applicable to all SaaS Products:

‍(i) Prohibited Uses

1. Using the SaaS Products to violate the rights of others;
2. Using the SaaS Products to harm, overload, disrupt, or gain unauthorized access to any service,   network, system, device, data or account provided by Keelvar or any third party, including any other user of the SaaS Products;
3. Using the SaaS Products in any situation where User knows or should reasonably know that failure or fault of the SaaS Products could lead to death or injury of any person, or physical or environmental damage;
4. Using the SaaS Products in a manner prohibited by applicable law, regulation or government order, including without limitation any laws regarding the export of data or software, email spamming, and distribution of malware;
5. Scanning or testing for vulnerability on the SaaS Products (including pen-testing) without the prior written consent of Keelvar, or otherwise engaging in actions that could compromise the security, integrity, availability or stability of the SaaS Products;
6. Using the SaaS Products’ email functionality, including bid invitation emails, in a manner that compromises the reputation or deliverability of Keelvar’s email services. This includes sending emails to unverified or inappropriate recipients, resulting in a bounce rate exceeding 2% or a spam complaint rate exceeding 0.1% of total emails sent;
7. Erasing or removing any intellectual property right notice contained in the SaaS Products;
8. Attempting to defeat, remove, or otherwise circumvent any software protection or monitoring mechanisms of the SaaS Products; and
9. Authorizing or inducing any third party to do any of the above.

(ii) User Obligations

1. Upon written request from Keelvar, User must promptly remove any data or application stored in the SaaS Products that violates this Usage Policy;
2. In the event User becomes aware of any known or suspected violation by its user(s) of this Usage Policy, User shall immediately: (a) provide notice to Keelvar of the violation, (b) suspend such user’s access to the SaaS Products, and (c) cooperate with Keelvar in any investigation of such known or suspected violation by User(s);
3. User acknowledges that the SaaS Products are designed with capabilities for User to access the SaaS Products without regard to geographic location;  
4. User shall be solely responsible for the accuracy, quality, content, legality and intellectual property ownership or right to User’s data and applications stored in the SaaS Products, including any applicable notice, takedown or other data security and data management policies. Keelvar reserves the right to review, refuse, or remove any or all User data or applications from the SaaS Products to comply with applicable law;
5. User acknowledges that the SaaS Products include a fair usage limit of 100GB of stored documents per User organization. If this limit is exceeded, User will cooperate with Keelvar in managing and archiving data no longer in active use; and
6. User will require all of User’s authorized users to comply with this Usage Policy;

The following additional terms are applicable to the use of AI Features:

1.  User must comply with the AI Usage Policy below at part B.

Part B AI Usage Policy

This AI Policy applies to the use of AI Features and forms part of the Keelvar Usage Policy.Where AI Features is defined in the agreement between Keelvar and User, it shall have the meaning given to it in such terms. Otherwise, “AI Features” means large language models (LLMs) or other machine learning or generative artificial intelligence features developed or made available by Keelvar as part of the Services.

What uses are prohibited?

• beyond its intended purposeas described in the Agreement;
• for any purpose classified as high-risk under the Regulation of the European Parliament and of the Council Laying Down Harmonised Rules on Artificial Intelligence (Artificial Intelligence Act);
• for the purpose of exploiting, harming or attempting to exploit or harm minors in any way
• to generate or disseminate verifiably false information and/or content with the purpose of harming others;
• to generate or disseminate personal identifiable information that can be used to harm an individual;
• to defame, disparage orotherwise harass others;
• for fully automated decision making that adversely impacts an individual’s legal rights or otherwise creates or modifies a binding, enforceable obligation
• for any use intended to or which has the effect of discriminating against or harming individuals or groups based on online or offline social behaviour or known or predicted personal or personality characteristics;
• to exploit any of the vulnerabilities of a specific group of persons based on their age, social, physical or mental characteristics, in order to materially distort the behaviour of a person pertaining to that group in a manner that causes or is likely to cause that person or another person physical or psychological harm;
• for any use intended to or which has the effect of discriminating against individuals or groups based on legally protected characteristics or categories;
• to provide medical advice and medical results interpretation;
• to generate or disseminate information for the purpose to be used for administration of justice, law enforcement, immigration or asylum processes, such as predicting an individual will commit fraud/crime commitment (e.g. by text profiling, drawing causal relationships between assertions made in documents, indiscriminate and arbitrarily targeted use);
• to upload any materials that infringe any intellectual property or other proprietary rights of any party or that you do not have a right to upload under any law or under any contractual or fiduciary relationship;
• to intentionally create outputs which infringes any intellectual property or other proprietary rights of any party; and
• to form the sole basis of any financial or other business decision, action or omitted action.

Compliance with law

User shall use the AI Features in compliance with all applicable national, federal, state, local or international law or regulation.
